1. Acceptance of Terms

Welcome to Compliance Pro, a product of Ali Management Group LLC (“Company,” “we,” “us,” or “our”). By accessing or using the Compliance Pro platform at compliancepro.live (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not access or use the Service.

These Terms constitute a legally binding agreement between you (whether individually or on behalf of the entity you represent) and Ali Management Group LLC. By creating an account, accessing the Service, or clicking “I Agree,” you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Description of Service

Compliance Pro is a HIPAA-compliant, cloud-based compliance management platform designed for home care agencies operating under home health care and PCA programs and Personal Care Assistance (PCA) programs. The Service provides:

  • Automated form template management, assignment, and tracking
  • Employee onboarding workflow management with checklists
  • Credential and certification tracking with expiration monitoring
  • Training course management and completion tracking
  • Electronic signature integration for form execution
  • AI-powered compliance checking, document reading, and risk analysis
  • Real-time compliance dashboards and reporting
  • OIG exclusion check integration
  • Secure document storage and management
  • Internal messaging and communication tools

The Service is intended to assist with compliance management but does not constitute legal advice and should not be relied upon as a substitute for professional legal or regulatory counsel.

3. User Accounts and Responsibilities

3.1 Account Registration

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You agree to immediately notify us at info@compliancepro.live of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

3.3 Authorized Users

Company administrators may invite additional users with various role-based permissions (administrators, coordinators, supervisors, direct support professionals, etc.). You are responsible for ensuring that all users within your organization comply with these Terms.

4. Acceptable Use Policy

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to other accounts, systems, or networks connected to the Service
  • Upload or transmit viruses, malware, or other harmful code
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Use the Service to store or transmit data that violates the privacy rights of third parties
  • Resell, sublicense, or redistribute the Service without our prior written consent
  • Use automated means to access the Service except through our published APIs

5. Subscription and Payment Terms

5.1 Subscription Plans

The Service is offered on a subscription basis. Available plans, pricing, and features are described on our website and may be updated from time to time.

5.2 Billing

Subscriptions are billed monthly or annually in advance, depending on the plan selected. All fees are non-refundable except as expressly stated in these Terms or as required by applicable law.

5.3 Price Changes

We reserve the right to change our pricing with 30 days’ prior written notice. Price changes will take effect at the start of the next billing cycle following the notice period.

5.4 Taxes

All fees are exclusive of taxes. You are responsible for paying all applicable taxes, except for taxes based on our net income.

6. Data Ownership

You own your data. All data you enter, upload, or otherwise provide to the Service (“Customer Data”) remains your property. We do not claim any ownership rights over your Customer Data.

You grant us a limited, non-exclusive license to use, process, and store your Customer Data solely for the purpose of providing and improving the Service. This license terminates when your account is closed and your data is deleted.

Upon termination of your account, you may request an export of your data. We will provide your data in a standard, machine-readable format within 30 days of such request.

7. PHI Handling and HIPAA Compliance

The Service is designed to handle Protected Health Information (“PHI”) in compliance with the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) and its implementing regulations, including the Privacy Rule, Security Rule, and Breach Notification Rule.

If you are a Covered Entity or Business Associate as defined under HIPAA:

  • We will enter into a Business Associate Agreement (“BAA”) with you prior to processing any PHI
  • We implement appropriate administrative, physical, and technical safeguards to protect PHI
  • All data is encrypted at rest and in transit using industry-standard encryption
  • AI features process only anonymized data — no PHI is sent to third-party AI services
  • We maintain audit logs of all access to PHI
  • We will promptly notify you of any breach of unsecured PHI as required by law

You are responsible for ensuring that your use of the Service complies with HIPAA and all other applicable privacy laws and regulations.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALI MANAGEMENT GROUP LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of, or inability to access or use, the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Termination

Either party may terminate these Terms at any time by providing written notice. You may cancel your subscription through your account settings or by contacting us at info@compliancepro.live.

We may suspend or terminate your access to the Service immediately, without prior notice, if:

  • You breach any provision of these Terms
  • Your payment is overdue by more than 30 days
  • We are required to do so by law
  • Continued provision of the Service is no longer commercially viable

Upon termination, your right to use the Service will immediately cease. We will retain your data for 90 days following termination, after which it will be securely deleted unless otherwise required by law.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the “Last updated” date. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms.
